By placing an order on our platform, the Buyer agrees to be bound by these Terms. As this platform is strictly intended for business-to-business (B2B) trade, the provisions of the Finnish Consumer Protection Act (Kuluttajansuojalaki) do not apply. All sales are governed by the Finnish Sale of Goods Act (Kauppalaki 355/1987).

- The Seller reserves the right to adjust prices, correct obvious pricing errors, or alter product specifications prior to order acceptance in the event of exchange rate fluctuations, supply chain adjustments, or typographical errors.
4. Orders & Contract Formation
- A binding purchase contract is established once the Buyer submits an order through the store and receives an automated or manual Order Confirmation via email from the Seller.
- The Seller reserves the right to decline any order or adjust fulfillment terms prior to receiving full payment.
5. Payment Terms & Retention of Title
- Payment Method: All orders are processed exclusively on an advance payment (ennakkomaksu) basis.
- Fulfillment: Orders will be dispatched or processed for delivery only after the full purchase amount has been successfully received and cleared in the Seller’s bank account.
- Retention of Title: All goods remain the sole property of Lohenette Ky until the full purchase price has been received.
6. Delivery & Transfer of Risk
- Delivery options and costs are specified during the ordering process.
- Risk Transfer: The risk of loss or damage to the goods passes to the Buyer upon handover of the consignment to the carrier/freight company or upon direct collection by the Buyer.
7. Inspection & Claims (Reklamaatiot)
- The Buyer is required to carefully inspect all delivered products immediately upon receipt.
- Any visible transport damage, missing items, or defects must be documented and reported to the Seller in writing at lohenette@lohenette.fi within seven (7) calendar days of delivery.
- Failure to notify the Seller within this timeframe waives the Buyer’s right to claim compensation or return for the affected delivery.
8. Returns & Right of Cancellation
- B2B commercial sales do not carry a statutory 14-day right of return or cancellation.
- Returns or order cancellations are accepted only upon prior written consent from Lohenette Ky and may be subject to restocking fees or handling charges.
9. Limitation of Liability
- To the maximum extent permitted by law, Lohenette Ky shall not be liable for any indirect, incidental, or consequential damages, including loss of profit, operational disruption, or indirect business losses arising from delayed deliveries or defective items.
- The Seller’s maximum total liability for any claim shall not exceed the purchase price paid for the specific goods in question.
10. Force Majeure
Neither party shall be liable for any failure or delay in fulfilling its contractual obligations if such failure or delay is caused by circumstances beyond its reasonable control (“Force Majeure”). Such events include, but are not limited to, acts of God, war, terrorism, civil unrest, strikes or labor disputes, fires, floods, severe weather events, global or regional supply chain disruptions, transport blockades, telecommunication or power grid failures, or government restrictions and embargoes.
If a Force Majeure event prevents the Seller from fulfilling an order, the Seller shall notify the Buyer as soon as reasonably practicable and reserves the right to extend delivery timelines or cancel the affected order without liability for damages.
11. Applicable Law & Jurisdiction
- These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Finland.
- Any disputes that cannot be settled amicably through negotiation shall be submitted to the exclusive jurisdiction of the District Court of Western Uusimaa (Länsi-Uudenmaan käräjäoikeus).
